The services agreement controls

This is the most important clause on the page. Where a written services agreement, master services agreement, statement of work, or order form exists between JBH Advisory Group and a client, that agreement governs the service — including scope, fees, service levels, data ownership, confidentiality, warranties, indemnities, limitation of liability, and governing law. These terms of use apply to website and platform access, and fill gaps only where the agreement is silent.

Nothing on this page modifies, expands, or reduces any signed agreement. If this page and that agreement ever conflict, the agreement prevails.

Who may use the platform

Access is limited to individuals a client organization has authorized, and to JBH Advisory Group personnel delivering that client's engagement. Accounts are personal. Credentials must not be shared, transferred, or used by anyone other than the individual they were issued to, and multi-factor authentication must not be circumvented.

Notify us promptly at jbhadmin@jbhadvisorygroup.com if you believe an account has been compromised, or if a user should no longer have access.

Acceptable use

You agree not to:

• Attempt to access data belonging to any organization, facility, or department you have not been granted access to, or otherwise circumvent tenant isolation or role-based access controls
• Sell, resell, sublicense, lease, distribute, transfer, or otherwise make the platform available to any third party
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying structure, methodologies, or algorithms of the platform
• Access or use the platform to develop, support, market, or operate a competing product or service
• Remove, alter, or obscure any proprietary notice, copyright, trademark, or other intellectual property designation in the platform
• Probe, scan, or test the vulnerability of the platform without prior written authorization
• Use automated means to scrape or bulk-extract data other than through features the platform provides for that purpose
• Knowingly introduce viruses, malware, or other harmful code, or otherwise interfere with the integrity or performance of the platform
• Use the platform in any manner that violates applicable law or infringes the rights of a third party
• Introduce protected health information or other patient-identifiable data into the platform, which is not designed or classified to receive it

That last item runs in both directions: it protects the client as much as it protects us, and it is why the data classification described in the privacy policy is kept narrow on purpose.

Client data

The client owns the operational and financial data it provides. JBH Advisory Group processes that data to deliver the contracted service, and to produce anonymized, aggregated peer benchmarks in which no individual client or facility is identifiable, in each case as permitted by the applicable services agreement.

Our intellectual property

The JBH Pulse platform, including its software, interface, methodology, and documentation, together with the JBH Advisory Group and JBH Pulse names and marks, remains the property of JBH Advisory Group. Access to the platform grants no license to them beyond the right to use the service as contracted.

Availability

We aim to keep the platform available continuously and to schedule maintenance outside client business hours where practical. Any binding availability commitment lives in the applicable services agreement. This website itself is provided on an “as available” basis.

No professional advice

JBH Pulse provides benchmarking, reporting, analytics, monitoring, and informational tools. It does not constitute legal, accounting, tax, financial, procurement, operational, clinical, or other professional advice, and JBH Advisory Group does not guarantee any particular operational improvement, cost saving, financial result, rebate recovery, or contract-compliance outcome. Clients remain solely responsible for evaluating and implementing decisions made on the basis of information the platform produces.

Disclaimers and liability for this website

The public pages at jbhpulse.com are provided for information. To the fullest extent permitted by law, and except as set out in a signed services agreement, JBH Advisory Group disclaims warranties of any kind with respect to these public pages and is not liable for indirect, incidental, or consequential damages arising from their use. Warranties and liability for the platform itself are governed by the applicable services agreement.

Suspension of access

We may suspend an individual account where we reasonably believe it has been compromised or is being used in breach of these terms, and will notify the client organization when we do. Termination of a client engagement, and the handling of data on termination, follow the services agreement.

Governing law

These terms of use are governed by the laws of the State of New York, United States, without regard to conflict-of-laws principles. This applies to these website terms only; each client's services agreement carries its own governing-law clause, which controls that engagement.

Changes

We may revise these terms, and will update the “last updated” date above when we do. Continued use of the platform after a revision constitutes acceptance of it.
